Karen Clarke has over 25 years of experience as a commercial litigator, previously practicing in the New York office of the prestigious international law firm Proskauer Rose LLP.  Karen has represented large public corporations, financial institutions, small private companies, officers and directors, and high-net-worth individuals in a variety of commercial disputes.

Karen has handled matters in state and federal courts in New York, New Jersey, Delaware, and elsewhere, as well as in arbitral forums including AAA, FINRA, and the National Futures Association.

Karen’s commercial litigation practice has encompassed many types of contracts, including stock and asset purchase agreements, credit and security agreements, notes and mortgages, employment-related agreements, joint venture and LLC agreements, service and supply contracts, AIA construction contracts, insurance policies, intellectual property licenses, leases, and trust agreements.

Karen has substantial experience in securities and corporate governance matters, including stockholder class and derivative actions asserting securities fraud and breach of fiduciary duty claims, SEC receivership litigation, individual investor suits, and intra-company management and dissolution disputes.

Karen’s practice has also included consumer class actions, employment matters, business torts (such as unfair competition, tortious interference, trade secret misappropriation, and restrictive covenants), construction litigation, ERISA and bankruptcy issues, intellectual property disputes, trust and estate litigation, judgment enforcement, and appeals.

Karen’s substantial appellate work has included cases in the New York Court of Appeals, the New York Appellate Division (First and Second Departments), the New Jersey Appellate Division, and the U.S. Courts of Appeals for the Second Circuit and other Circuits.

Karen has also assisted clients with internal investigations, responses to regulatory inquiries, and victim impact statements.
